Terms of Service

1. Agreement to Terms

By accessing or using Joinery ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including business owners, team members, and clients accessing the Client Portal.

2. Description of Service

Joinery is a SaaS platform designed for custom furniture builders, providing project management, CRM, invoicing, client communication, and sales automation tools. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue features at any time.

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to use the Service
• One person or business may not maintain multiple free accounts
• You are responsible for all activity that occurs under your account

4. Subscription, Free Trial & Payment

14-Day Free Trial. All paid Joinery plans (Starter, Professional, Enterprise) include a 14-day free trial. No credit card is required to start the trial. You may cancel the trial at any time before it ends from your Subscription page without being charged.

Auto-Renewal. After the trial ends (or if you subscribe directly without a trial), your subscription will automatically renew on a monthly basis until cancelled. By providing your payment information at checkout you authorize Joinery and our payment processor (Stripe) to charge your payment method the applicable subscription fee in advance for each billing period.

• Subscription fees are billed monthly, in advance, on the same calendar day each month.
• All prices are in U.S. dollars and exclude applicable taxes which are calculated at checkout where required.
• You may cancel at any time from your Subscription page or via the Stripe Customer Portal accessed from Manage Billing. Cancellation takes effect at the end of the current billing period — you keep access until then, no further charges occur, and your account downgrades to the free Starter tier.
• Subscription fees are non-refundable except as described in our Refund Policy or as required by law.
• If a payment fails, we may suspend access to paid features until payment is resolved. Repeated failure may result in account termination.
• We may change pricing with at least 30 days’ notice via email; the new price applies to billing periods beginning after the notice period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Interfere with other users' enjoyment of the Service
• Resell or redistribute the Service without authorization
• Use automated systems to scrape or extract data
• Impersonate another person or entity

6. Your Content

• You retain ownership of content you upload to the Service
• You grant us a license to store, display, and process your content to provide the Service
• You are responsible for ensuring you have rights to content you upload
• We may remove content that violates these terms
• We do not claim ownership of your business data, projects, or client information

7. Intellectual Property

The Service, including its original content, features, and functionality, is owned by Joinery and protected by intellectual property laws. Our trademarks may not be used without prior written consent.

8. Third-Party Integrations

The Service integrates with third-party services (Stripe, Shopify, email providers, etc.). Your use of these integrations is subject to their respective terms of service. We are not responsible for third-party services' availability or performance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, JOINERY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Indemnification

You agree to indemnify and hold harmless Joinery from any claims, damages, or expenses arising from your use of the Service, your violation of these terms, or your violation of any rights of another party.

12. Termination

• You may terminate your account at any time from your account settings
• We may suspend or terminate accounts that violate these terms
• Upon termination, your right to use the Service ceases immediately
• You may request export of your data before termination
• Provisions that should survive termination will remain in effect

13. Governing Law

These terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.

14. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of material changes via email or through the Service. Your continued use after changes constitutes acceptance of the new terms.
